Job Responsibilities and Duties
- Advise and assist clients on a range of local and international corporate and commercial matters;
- Support mergers and acquisitions, due diligence exercises, joint ventures and corporate restructuring transactions;
- Assist with corporate governance matters, including the preparation and review of shareholders’ agreements and related documentation;
- Draft, review and negotiate commercial agreements and other legal documentation;
- Assist with company incorporations and prepare statutory forms and filings required by the Malta Business Registry;
- Manage client relationships and work closely with other members of the legal team on ongoing matters;
- Liaise with professional advisors, regulatory authorities and other relevant third parties;
- Conduct legal research on corporate and commercial matters and prepare legal opinions in response to client requirements;
- Provide ongoing legal support on general corporate law matters;
- Carry out other legal and corporate duties as required.
Experience
- Warranted Lawyer with a minimum of 4 years of professional experience practising corporate and commercial law;
- Strong experience handling corporate transactions and related legal documentation;
- Good knowledge of corporate and commercial law, including corporate governance matters;
- Strong legal drafting skills with experience preparing and negotiating commercial agreements;
- Previous experience conducting legal research and preparing legal opinions.
