Job Responsibilities and Duties
- Draft and negotiate contracts related to equity transactions, including issuances, reductions, redemptions, buybacks, and dividend distributions, as well as intercompany loan agreements and cash flow reconciliation letters;
- Manage corporate governance tasks such as director appointments and resignations, company name or detail changes, and the preparation and submission of Companies House filings;
- Maintain accurate and up-to-date company registers, corporate records, and contract documentation;
- Prepare documentation to support corporate restructurings, reorganisations, and solvent liquidations.
Experience
- Qualified English lawyer with a minimum of 3 years’ post-qualification experience, ideally in corporate law, M&A, private equity, or debt finance;
- Solid understanding of English corporate law and its practical application;
- Fluent in English, both written and spoken; additional language skills are considered an asset.
