Job Responsibilities and Duties

  • Draft and negotiate contracts related to equity transactions, including issuances, reductions, redemptions, buybacks, and dividend distributions, as well as intercompany loan agreements and cash flow reconciliation letters;
  • Manage corporate governance tasks such as director appointments and resignations, company name or detail changes, and the preparation and submission of Companies House filings;
  • Maintain accurate and up-to-date company registers, corporate records, and contract documentation;
  • Prepare documentation to support corporate restructurings, reorganisations, and solvent liquidations.

Experience

  • Qualified English lawyer with a minimum of 3 years’ post-qualification experience, ideally in corporate law, M&A, private equity, or debt finance;
  • Solid understanding of English corporate law and its practical application;
  • Fluent in English, both written and spoken; additional language skills are considered an asset.

  • Able to quickly grasp, analyse, and clearly communicate complex legal and corporate structures;
